Terms for reports and advisory products

Scope and reliance

ExecSignal provides research, business intelligence, planning analysis, and valuation-oriented decision support based on customer inputs, public sources, licensed or permitted data services, and stated assumptions. Reports are prepared for the ordering customer and the purpose identified in the intake.

Reports are not legal, tax, investment, audit, fairness, appraisal, or lender approval opinions. A valuation range is an advisory planning analysis, not a guarantee of sale price, financing, or transaction outcome. Material decisions should be reviewed with the customer's qualified legal, tax, accounting, lending, or transaction advisers as appropriate.

Public and regional data describes market context and cannot prove a company's revenue, margins, customer quality, capacity, compliance, or value. Reports identify assumptions and internal evidence that the customer should validate before relying on a conclusion.

ExecSignal is not acting as a fiduciary, broker, investment adviser, lender, accountant, attorney, or certified appraiser. No purchase or communication creates an attorney-client, fiduciary, brokerage, partnership, joint-venture, employment, or agency relationship.

Accurate and permitted inputs

• Provide complete and accurate intake information.
• Upload only documents you own or are authorized to provide and that may lawfully be processed for the requested analysis.
• Do not submit payment-card details, passwords, government identity numbers, medical records, or unrelated personal information in free text or uploads.
• Review assumptions, source limitations, and company-specific facts before sharing or acting on a report.

ExecSignal may pause delivery when intake is incomplete, payment is unresolved, documents are unreadable, or quality review identifies a material evidence gap.

By ordering, the customer represents that they are at least 18 years old, can enter a binding contract, and have authority to act for the identified business. The customer is responsible for decisions made, transactions pursued, and information shared based on a report.

Order acceptance and electronic records

An order is an offer to purchase. ExecSignal accepts it when payment is confirmed and an order confirmation is issued. ExecSignal may reject or cancel an order before delivery for suspected fraud, sanctions or legal risk, unsupported scope, misuse, conflict, or a material inability to perform; any amount collected for canceled, undelivered work will be returned unless law permits it to be withheld.

The customer agrees to transact electronically and to receive order, access, delivery, policy, and support communications at the email provided. Electronic confirmations, records, and acceptances satisfy writing and signature requirements to the extent permitted by law.

Changes, corrections, and availability

Source data, provider availability, software, and market conditions can change. ExecSignal may correct factual, calculation, security, or access errors and may replace a report version when appropriate. A correction does not convert directional analysis into a guarantee or certified opinion.

Features may be modified, suspended, or discontinued. These terms do not promise uninterrupted access, permanent storage, a particular data source, or continued availability of a product for future orders.

Payment, delivery, and support

Prices and expected delivery windows are shown before checkout. Delivery windows begin after successful payment and receipt of a complete intake and are estimates rather than guarantees. Requests that require missing information or manual evidence review may take longer; ExecSignal will use reasonable efforts to communicate a material delay.

The customer authorizes the displayed charge and is responsible for applicable taxes, accurate billing information, and charges approved through the selected payment method. Payment processing is handled by Stripe under its terms. A chargeback does not resolve the underlying dispute or waive rights available to either party.

Because reports are customized digital work, completed and delivered reports are generally non-refundable except where required by law or where ExecSignal determines that the purchased product was not delivered as described. Duplicate charges, access problems, or material factual errors should be submitted through support for review.

License and restrictions

After payment, ExecSignal grants the customer a non-exclusive license to use and share the delivered report for the customer's internal planning and with professional advisers, lenders, or prospective transaction parties evaluating the subject business. Source materials, methods, templates, software, and benchmark libraries remain the property of their respective owners.

Customers may not resell reports as a data product, remove source or limitation disclosures, present directional analysis as a certified opinion, reverse engineer the service, interfere with security or access controls, or use the service to violate law or third-party rights.

No right is granted to ExecSignal's software, prompts, models, non-public methods, source library, or trademarks. Feedback may be used to improve the service without identifying the customer or disclosing confidential customer material.

Data providers and external terms

The service may use third-party infrastructure, payment, delivery, research, website-rendering, and AI providers. Their availability and source data may change. Use of Google Maps Platform content is also subject to the Google Maps/Google Earth Additional Terms and the Google Privacy Policy. See the privacy page for provider and retention details.

Disclaimers and responsibility

To the maximum extent permitted by law, the service and reports are provided “as is” and “as available,” with all warranties not expressly stated in these terms disclaimed, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. ExecSignal does not warrant that public data is complete, current, or error-free, that access will be uninterrupted or secure, or that a report will produce a particular commercial result.

To the maximum extent permitted by law, ExecSignal is not responsible for indirect, incidental, special, consequential, or lost-profit damages, loss of revenue, opportunity, goodwill, anticipated savings, or data arising from the service or a report, even if the possibility was disclosed. ExecSignal's aggregate liability arising from a purchased product will not exceed the amount paid for that product. These exclusions and limits apply regardless of legal theory and do not apply to liability that cannot lawfully be excluded or limited.

The customer will be responsible for third-party claims and reasonable costs arising from customer-provided material the customer had no right to submit, unlawful use of the service, or a material violation of the license restrictions, except to the extent caused by ExecSignal.

ExecSignal may update these terms for future orders. The version in effect when an order is placed governs that order unless a change is required by law or expressly agreed in writing.

Disputes, governing law, and venue

Before filing a claim, the parties will make a good-faith effort to resolve it through a written notice describing the issue and requested resolution. If it is not resolved within 30 days after receipt, either party may pursue available remedies.

Georgia law governs these terms without regard to conflict-of-law rules. Subject to any mandatory venue or consumer-protection law, the state and federal courts located in Fulton County, Georgia have exclusive jurisdiction, and each party consents to personal jurisdiction there. Nothing prevents either party from seeking urgent injunctive relief for misuse, confidentiality, security, or intellectual-property harm.

General contract terms

Neither party is liable for delay caused by events beyond reasonable control, except that payment obligations already due remain payable. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will continue in effect. Failure to enforce a provision is not a waiver.

The customer may not assign an order or these terms without written consent. ExecSignal may assign them in connection with a reorganization, financing, merger, sale, or transfer of the service. These terms, the checkout record, the applicable product description, and any written order-specific scope are the entire agreement for the purchase; an expressly agreed written order-specific term controls if it conflicts. There are no third-party beneficiaries.

Provisions concerning payment, ownership, restrictions, disclaimers, liability, disputes, and general contract terms survive completion or termination to the extent needed to give them effect.
